MyMusicBin — Artist Agreement

Last updated: September 22, 2026 (Version 1.0)

This Artist Agreement (this “Agreement”) is a legally binding contract between MyMusicBin, LLC, a Virginia limited liability company (“MyMusicBin,” “MMB,” “we,” “us”), and you, the individual or entity that creates an Artist account or uploads Content (“Artist,” “you”). It incorporates by reference the Track Rights Certification (Exhibit A), the Copyright Policy (Exhibit B), the Listener Terms of Use and Download License (the “Listener Terms”), the Fee Schedule, and the Privacy Policy, each as updated from time to time (together, the “Terms”).

By clicking “I agree,” creating an Artist account, or uploading Content, you accept the Terms. If you do not agree, do not create an account or upload Content. Please read Section 5 (License), Section 9 (Representations and Warranties), Section 13 (Indemnification), and Section 15 (Limitation of Liability) with particular care.

1. Eligibility and Authority

1.1          You must be at least 18 years old to create an Artist account.

1.2          If you create an account on behalf of a band, group, company, label, or other entity, you represent that you are authorized to bind that entity to the Terms and to grant the licenses in this Agreement on its behalf, and “you” includes that entity. You remain personally responsible for the account.

1.3          You are responsible for all activity under your account and for keeping your credentials confidential.

3. The Services; Your Controls

3.1          What we provide. Subject to the Terms, we provide tools for you to host, stream, and (if you choose) offer Downloads of eligible Content through your Artist page, and to receive support from Listeners through links you provide.

3.2          Your choices. You decide which eligible Content to upload, whether and when to Publish each Album, whether Downloads are enabled for an Album and on what terms (free, paid, or QR Code), and the price of any paid Download. You may change these settings or remove Content at any time, subject to Section 12.

3.3          No obligation to host. We may decline, remove, restrict, Lock, or return to Draft any Content or account at any time, with or without notice, for any reason or no reason, including where we believe in good faith that Content may infringe or violate the Terms. We are not obligated to host any Content or to keep the Services available.

3.4          Changes to the Services. We may modify, suspend, or discontinue any feature of the Services. We will make reasonable efforts to give notice of changes that materially reduce functionality you are using.

3.5          Not a backup service. You must keep your own master copies of all Content. We may delete Content in accordance with the Terms and are not responsible for loss of Content.

4. Eligible Content; Certification

4.1          Eligibility (Version 1.0). You may upload only Tracks whose Composition is an Original Composition or a Public-Domain Composition, and whose Recording you own or control as described in Exhibit A. Cover Recordings are not permitted, whether or not you hold a license for it. We may expand eligibility in the future by updating the Terms.

4.2          Certification required. Each Track must complete the Certification before any Album containing it may be Published. Draft does not require Certification. Publishing is your act: we do not Publish Content for you, and the Publish control is unavailable until the Certification for every Track on the Album is complete.

4.3          Certification is part of this Agreement. Your Certification for each Track, including each answer you give, is a representation and warranty to us under Section 9 and is incorporated into this Agreement as of the moment you submit it. Your Certification is your representation alone and does not bind, and is not a signature by, any co-writer, co-owner, or other person you name.

4.4          Re-certification. A Certification applies only to the specific audio file certified and to the Metadata as it stood at certification. If you delete and re-upload a Track, the new Track must be certified. If you change any certification-related Metadata, the affected Certification is void until you re-certify, and any Published Album containing the Track returns to Draft until the Track is re-certified and you Publish the Album again. We may also require re-affirmation of Certifications when we materially update Exhibit A.

4.5          We rely on your Certifications and do not review Content for infringement or accuracy. Any review we do perform does not reduce your responsibility or constitute approval.

4.6          Ongoing duty. If any statement in a Certification ceases to be true, you must promptly remove or replace the affected Track and notify us at support@mymusicbin.com.

4.7          Documentation. You must keep written evidence of each consent, license, and confirmation your Certifications rely on (co-writer and co-owner agreements, performer releases, beat licenses, administrator confirmations) and provide copies to us within five [5] business days of our request. We may Lock or remove Content if you do not.

5. License to MyMusicBin

5.1          Grant. You grant MyMusicBin a non-exclusive, royalty-free, worldwide, sublicensable (solely as provided in Section 5.4) license, for the term described in Section 5.5, to do the following with your Content, in each case solely to provide, operate, secure, maintain, and improve the Services and to perform the Services you have elected for the Content:

(a) reproduce the Content, including to ingest, store, transcode, format, encode, cache, buffer, and back it up, and to create technical copies such as previews, waveforms, and lower-bitrate versions;

(b) publicly perform the Recordings and the Compositions embodied in them by on-demand streaming and by any other digital audio transmission, including under 17 U.S.C. § 106(6);

(c) distribute copies of the Recordings and Album packages to Listeners by Download, by any delivery mechanism you enable, including QR Code redemption;

(d) publicly display Artwork, lyrics, Metadata, biographies, and other text and images on your Artist page and elsewhere on the Services;

(e) make technical modifications to the Content (such as encoding, loudness normalization, file format conversion, and Metadata formatting) necessary to deliver it, without creating new creative works; and

(f) grant the Listener License to Listeners on your behalf as described in Section 6.

5.2          Operative grant. The license in this Section 5 is the only license you grant us and covers every feature of the Services whether or not you have enabled it. The authorizations you give in the Certification and your Album settings are configuration choices that determine which Services we actually perform for a given Track; they are not separate or narrower licenses.

5.3          Scope limits. We will not sell, sublicense to third parties for their own use, or distribute your Content outside the Services, or create derivative works of it other than technical modifications under Section 5.1(e), without your separate written consent.

5.4          Sublicensing. You permit us to sublicense the rights in Section 5.1 to our hosting, content-delivery, storage, payment-verification, security, and other service providers solely so that they can provide their services to us.

5.5          Term; survival. The license continues for each item of Content while it is on the Services. When you remove Content or your account terminates, we will cease public availability of that Content promptly (and in any event within five [5] business days), except that the license survives (a) for copies in routine backups for up to ninety [90] days; (b) for copies retained under legal hold, in connection with a dispute, or as required by law; (c) for Certification records, file hashes, and Metadata retained under Section 11; and (d) for copies of Recordings already delivered to Listeners under Listener Licenses, which are not affected by removal.

5.6          Ownership. You retain all right, title, and interest in your Content. Nothing in this Agreement transfers ownership of any copyright to us. We own the Services and all software, designs, and data (other than your Content) associated with them.

6. Listener License

6.1          You authorize us to grant to each Listener, on your behalf and in your name, the Listener License set out in the Listener Terms as in effect when the Listener streams or Downloads your Content. You agree to be bound by each Listener License as licensor.

6.2          The Listener License for a Download is personal, non-commercial, and non-transferable, and permits the Listener to keep and play the downloaded copy on the Listener’s own devices. Listener Licenses granted before Content is removed survive removal.

6.3          We may update the Listener Terms. We will give you at least thirty [30] days’ notice of any change that materially expands what Listeners may do with your Content.

7. Name, Likeness, and Marks

7.1          You grant us a non-exclusive, royalty-free, worldwide license to use your name, stage name, band name, likeness, biography, logos, and trademarks as they appear in your Content to identify you, display your Artist page, and operate the Services.

7.2          We will not use your name, likeness, or Content to promote MyMusicBin outside the Services (for example, in advertising or featured-artist marketing) unless you opt in through your account settings. You may withdraw an opt-in at any time for future uses.

8. No Royalties; Direct License Acknowledgments

8.1          We pay no royalties. We do not pay you, any co-writer, co-owner, producer, performer, performing rights organization, mechanical licensing collective, SoundExchange, or anyone else any royalty, fee, or other amount for the use of your Content on the Services. The consideration for the license in Section 5 is our provision of the Services.

8.2          What a direct license means. You acknowledge that because you license your Content directly to us, (a) we do not currently hold, and under our direct-license model are not required to obtain a license from ASCAP, BMI, SESAC, GMR, any other performing rights organization, The Mechanical Licensing Collective, or SoundExchange for your Content; (b) those organizations will not collect from us or pay you for uses on the Services; (c) you are solely responsible for accounting to your co-writers, co-owners, publishers, producers, performers, and anyone else with a financial interest in your Content; and (d) nothing in this Agreement affects your right to collect royalties for uses of your Compositions and Recordings outside the Services.

8.3          Your other activities. This license is non-exclusive. You may register your Compositions and Recordings with any organization, distribute them through any other service, and license them to anyone else, provided that doing so does not conflict with the rights you have granted us.

8.4          Usage data. We may, but are not required to, make play and Download statistics available to you. We do not report usage to performing rights organizations or collectives on your behalf. If MMB becomes obligated to file usage reports for any reason, we may report usage data to The Mechanical Licensing Collective or others where the law requires; such reporting does not result in any payment to you.

9. Representations and Warranties

9.1          The following representations apply to all of your Content, whether or not the Certification process asks you about them. You represent and warrant to us, as of the date you upload each item of Content and continuously while it remains on the Services, that:

(a) Authority. You have the full right, power, and authority to enter into this Agreement and to grant the licenses in Sections 5, 6, and 7, and, if you act for an entity, you are authorized to bind it.

(b) Composition. Each Composition is an Original Composition or a Public-Domain Composition as defined in this Agreement and Exhibit A, and every statement in your Certification for the Track is true, accurate, and complete.

(c) Co-writers and co-owners. Every co-writer of an Original Composition and every co-owner of a Recording has agreed to the use of the Composition or Recording on the Services on the terms of this Agreement, and you are responsible for accounting to them.

(d) No conflicting agreements. No publishing, co-publishing, publishing-administration, record label, distribution, licensing, or other agreement prevents you from granting the licenses in this Agreement or makes any third party’s consent necessary that you have not obtained.

(e) Performing rights. If you or any co-writer is affiliated with a performing rights organization, your affiliation agreement permits you to license performances of the Composition directly to us, and you have confirmed this where Exhibit A required you to.

(f) No borrowed material. No Content contains any sample, interpolation, or remix of any third-party recording or composition, and no other third-party material except (i) a beat, loop, or instrumental you hold a written license for permitting the uses in Section 5 without limits the Services would exceed, or (ii) sample-library sounds licensed for use in your own recordings.

(g) Public-domain material. For each Public-Domain Composition, you have accurately identified a published source dated before the cutoff date in Exhibit A containing the Composition as recorded; your Recording uses your own arrangement or an arrangement itself published before that date; and it includes no lyrics, translation, arrangement, or other material that is not either in the public domain or your own original work.

(h) Recording. You own the Recording, or you own it together with co-owners each of whom has agreed to its use on the Services, or you are authorized by its owner to grant the licenses in this Agreement; and the Recording is not subject to any exclusive agreement that prevents its use on the Services.

(i) Performers and producers. Every performer on the Recording has consented to its distribution and streaming, and no producer, mixer, engineer, or other contributor has any right to prevent its release.

(j) Artwork, text, and likeness. You own or have written permission to use all Artwork, lyrics, biographies, and text you upload, and every identifiable person depicted in Artwork has consented to that use.

(k) Non-infringement. The Content, and our use of it as permitted by this Agreement, does not and will not infringe or violate any copyright, trademark, right of publicity or privacy, moral right, contract right, or other right of any person, or any law.

(l) Sales. For any paid Download or QR Code you offer, you are the seller, you have the right to sell, and you will comply with all laws applicable to that sale, including tax and consumer-protection laws.

(m) No prohibited content. The Content does not contain malware, is not unlawful, defamatory, or obscene, and does not sexualize minors.

10. Sales, Payments, and Taxes

10.1       You are the seller. For every paid Download and QR Code, you are the seller of record and the party to the transaction with the Listener. We are a technology provider and are not a party to any sale, do not set prices, and do not receive, hold, or transmit sale proceeds.

10.2       Payment processing. Paid Downloads are processed through your own PayPal account using the payment link or integration you provide. Your relationship with PayPal is governed by PayPal’s terms, and you are responsible for maintaining a valid, compliant account.

10.3       Download Authorization. After we receive a payment confirmation signal from the payment processor, we issue the Listener a time-limited Download Authorization on the terms in the Listener Terms. A Download Authorization means only that we received a signal that payment was made; we do not guarantee that funds were received, are final, or will not be reversed.

10.4       Refunds, chargebacks, and disputes. Refunds, chargebacks, and Listener disputes about a purchase are between you and the Listener and are handled through PayPal. You will honor any refund policy you publish and any refund required by law. We may, in our discretion, revoke or reissue a Download Authorization to resolve a Listener complaint, and you authorize us to do so.

10.5       Taxes. You are solely responsible for determining, collecting, reporting, and remitting all sales, use, VAT, GST, digital-services, income, and other taxes arising from your sales and from any support payments you receive. We do not collect or remit taxes on your behalf.

10.6       QR Codes. QR Codes are generated by you through the Services, authorize a redemption code you generate through the Services that may be redeemed once and, on redemption, issues a Download Authorization. QR Codes have no cash value, are not redeemable for money, and may not be sold or represented as having a monetary value. An unredeemed QR Code does not expire. You are responsible for their distribution and for any sale you make of them.

10.7       Support links. Links through which Listeners may support you financially go to accounts you control. Support payments are gifts or transactions between you and the Listener; we are not involved and make no representation about their tax treatment.

10.8       Our fees. You will pay the fees in the Fee Schedule. Fees are non-refundable except as stated in the Fee Schedule or as required by law.

11. Records and Data

11.1       We keep records of each Certification (including the text you saw, your answers, your typed name, the date and time, your IP address, and cryptographic hashes of the files you uploaded) and of your acceptance of the Terms. We retain those records for as long as your account is open and and afterward for as long as we reasonably need them to respond to claims and comply with law.

11.2       You agree that we may disclose Certification records, your contact information, and Content to a person who has submitted a copyright complaint, to a court, or to law enforcement, to the extent we reasonably believe necessary to respond to a claim, comply with law, or protect our rights.

11.3       Our collection and use of personal information is described in the Privacy Policy.

12. Term and Termination

12.1       This Agreement begins when you accept it and continues until terminated.

12.2       You may terminate at any time by closing your account. We may suspend or terminate your account or any Content at any time under Section 3.3, and will terminate accounts of repeat infringers as described in Exhibit B.

12.3       On termination we will cease public availability of your Content as provided in Section 5.5. Sections 4.3, 4.5, 5.5, 6.2, 8, 9, 10.4–10.7, 11, 12.3, 13, 14, 15, 16, and 17 survive termination, as does any provision that by its nature should survive.

13. Indemnification

13.1       You will defend, indemnify, and hold harmless MyMusicBin, its members, managers, officers, employees, contractors, and service providers from and against all claims, demands, proceedings, losses, damages, liabilities, settlements, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your Content or our use of it as permitted by this Agreement; (b) any inaccuracy in a Certification or breach of Section 9; (c) any sale, QR Code, or support payment; (d) your violation of any law or the rights of any person; or (e) any dispute between you and a co-writer, co-owner, performer, producer, publisher, label, distributor, or Listener.

13.2       We may control the defense of any claim we choose to control, at your expense, and you will cooperate. You may not settle any claim that imposes obligations on us or admits fault on our behalf without our written consent. We may set off amounts you owe under this Section against any amounts we owe you.

14. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT CONTENT WILL BE PRESERVED, THAT ANY SALE WILL OCCUR OR BE PAID, OR THAT ANY PAYMENT SIGNAL IS ACCURATE. WE PROVIDE NO LEGAL ADVICE; THE CERTIFICATION PROCESS AND ANY EXPLANATORY TEXT ARE NOT LEGAL ADVICE AND DO NOT DETERMINE THE COPYRIGHT STATUS OF ANY WORK.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MYMUSICBIN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE TERMS OR THE SERVICES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.

16. Governing Law; Disputes

16.1       This Agreement and any dispute arising out of or relating to it or the Services are governed by the laws of the Commonwealth of Virginia and applicable United States federal law, without regard to conflict-of-laws rules.

16.2       Any such dispute will be resolved by binding individual arbitration administered by AAA under its Commercial rules, seated in Richmond, Virginia, except that either party may seek injunctive relief in court to protect intellectual property. YOU AND MYMUSICBIN EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

16.3       Any claim arising out of or relating to the Terms or the Services must be brought within one year after it accrues, except claims that by law cannot be so limited.

17. General

17.1       Changes to the Terms. We may update the Terms. For material changes we will give at least thirty [30] days’ notice by email or in-product notice, and for changes that expand the license in Section 5 or the representations in Section 9 we will require you to affirmatively accept the updated Terms before continuing to use the Services. Continued use after the effective date of other changes constitutes acceptance.

17.2       Electronic contracting. You consent to conduct this transaction electronically and agree that your electronic acceptance, typed name, and Certifications have the same effect as a handwritten signature under the federal E-SIGN Act and the Virginia Uniform Electronic Transactions Act.

17.3       Notices. Notices to you may be sent to the email address on your account. Notices to us must be sent to: MyMusicBin, LLC, 8401 Mayland Dr, Suite #4494, Richmond VA 23294 or support@mymusicbin.com; copyright notices must be sent as described in Exhibit B.

17.4        Assignment. You may not assign this Agreement without our consent. We may assign it to an affiliate or successor.

17.5       Geographic scope. The Services are operated from the United States and are available only to artists in the United States. You are responsible for compliance with the laws of any jurisdiction from which you upload Content.

17.6       Miscellaneous. The Terms are the entire agreement between us regarding the Services and supersede prior agreements. If any provision is unenforceable it will be modified to the minimum extent necessary and the rest remains in effect. Our failure to enforce a provision is not a waiver. The parties are independent contractors. We are not liable for delay or failure caused by events beyond our reasonable control. Headings are for convenience only.

Exhibit A — Track Rights Certification

Last updated: September 22, 2026 (Version 1.0)

This Exhibit describes the statements you make when you certify a Track. The exact questions and text are presented in the Services at the time of certification, are recorded, and control to whatever extent they differ from this summary. Each statement is a representation and warranty under Section 9 of the Artist Agreement.

Exhibit B — Copyright Policy

Last updated: September 22, 2026 (Version 1.0)

MyMusicBin respects the intellectual property of others and expects Artists and Listeners to do the same. This Policy describes how we handle copyright complaints and applies to all Content on the Services.

B.1         Designated agent

Notices of claimed infringement under the Digital Millennium Copyright Act, 17 U.S.C. § 512, must be sent to our designated agent:

MyMusicBin, LLC

℅ Virginia Registered Agent Services LLC

8401 Mayland Dr, Suite #4494

Richmond VA 23294

757-204-2691

support@mymusicbin.com

B.2         What a notice must contain

A notice must include: (1) a physical or electronic signature of the copyright owner or a person authorized to act for the owner; (2) identification of the copyrighted work claimed to be infringed; (3) identification of the material claimed to be infringing and information reasonably sufficient to locate it on the Services (a URL of the Album or Track); (4) your contact information (address, telephone number, and email); (5) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (6) a statement, under penalty of perjury, that the information in the notice is accurate and that you are the owner or authorized to act for the owner. Knowingly misrepresenting that material is infringing may result in liability under 17 U.S.C. § 512(f).

B.3         What we do when we receive a notice

When we receive a notice that substantially complies with B.2, or otherwise become aware of facts from which infringement is apparent, we will return the Album to Draft, so it is no longer available to Listeners (including by Download or QR redemption), and only MyMusicBin can Publish it again; the Content and its records are preserved for review and for restoration under B.4. We will promptly notify the Artist by email, provide a copy of the notice, and explain how to submit a counter-notification. If a notice omits some required elements but substantially complies, we will attempt to contact the sender to obtain the missing information before acting.

For complaints that are not copyright notices — for example, policy violations, credit or metadata disputes, or disputes between collaborators that do not assert infringement — we may instead return the Album to Draft without Locking it (you can correct the issue and Publish again) pending review, or take any other action we consider appropriate under Section 3.3 of the Artist Agreement.

B.4         Counter-notification

If you believe Content of yours was Locked by mistake or misidentification, you may send our designated agent a counter-notification containing: (1) your physical or electronic signature; (2) identification of the material and its location before removal; (3) a statement under penalty of perjury that you have a good-faith belief that the material was removed as a result of mistake or misidentification; (4) your name, address, and telephone number; and (5) a statement that you consent to the jurisdiction of the federal district court for the judicial district in which your address is located (or, if outside the United States, the Eastern District of Virginia) and that you will accept service of process from the person who provided the original notice or their agent. On receipt of a compliant counter-notification we will promptly forward it to the original complainant and inform them that we will restore the Content in 10 business days. We will unlock the Content (returning it to ordinary Draft so that you can Publish it again) not less than 10 nor more than 14 business days after receiving the counter-notification unless the complainant notifies us that it has filed an action seeking a court order against the Artist.

B.5         Repeat infringers

We terminate, in appropriate circumstances, the accounts of Artists and Listeners who are repeat infringers. An Artist account will be terminated if it accumulates three [3] Locks resulting from compliant copyright notices within any twelve-month [12-month] period that are not resolved by a counter-notification or withdrawal of the notice, and may be terminated immediately for a single instance of flagrant infringement, for providing false information in a Certification, or for submitting a false counter-notification. Terminated Artists may not open a new account.

B.6         Good-faith removal

We will not be liable to any Artist or Listener for removing, disabling access to, Locking, or returning to Draft any Content in good faith in response to a notice, apparent infringement, or a claim that the Content violates the Terms, whether or not the Content is ultimately determined to be infringing.

B.7         Records; other complaints

We keep records of notices, counter-notifications, Locks, returns to Draft, and account actions. Trademark, right-of-publicity, defamation, and other non-copyright complaints may be sent to support@mymusicbin.com; they are handled under Section 3.3 of the Artist Agreement rather than this Policy.
